1. Agreement to Terms

By engaging the services of Himangshu Mishra ("Developer"), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not use our services.

2. Services Provided

The Developer provides web development services including but not limited to website design, development, maintenance, and consulting as outlined in the project scope document or service agreement.

3. Project Timeline and Deliverables

All project timelines and deliverables will be specified in the project scope document. Any changes to the scope may affect the timeline and cost of the project.

4. Payment Terms

Unless otherwise specified in writing, payment terms are as follows:

• 50% of the total project fee is due before work commences
• Remaining 50% is due upon project completion and before website launch
• Monthly service payments are due on the 1st of each month
• All payments are non-refundable except as specified in our Refund Policy
• Late payments may incur a 5% late fee per week

5. Intellectual Property Rights

After full payment, clients own the rights to all custom code written specifically for their project. The Developer retains rights to components developed prior to the project.

Open-source components remain under their respective licenses. The Developer reserves the right to display the work in portfolios and for marketing purposes.

6. Client Responsibilities

Clients are responsible for:

• Providing necessary content and assets on time
• Reviewing and providing feedback within agreed timeframes
• Securing necessary licenses for third-party content
• Maintaining their website after the handover (unless under maintenance contract)

7. Limitation of Liability

The Developer's liability is limited to the amount paid for services. We are not liable for any indirect, consequential, or incidental damages.

8. Indemnification

Client agrees to indemnify and hold harmless the Developer from any claims, damages, liabilities, costs, or expenses related to their website content or business operations.

9. Termination

Either party may terminate services with 30 days written notice. If terminated by the client, all completed work must be paid in full. If terminated by the Developer, a prorated refund will be provided for prepaid services not rendered.

10. Governing Law

These terms are governed by the laws of India. Any disputes will be resolved in the courts of Bhubaneswar, Odisha.

11. Changes to Terms

The Developer reserves the right to modify these terms at any time. Changes will be effective upon posting to our website.
